Changing a company’s name in India involves following a specific procedure established by the Ministry of Corporate Affairs (MCA). Here’s a breakdown of the key steps:

1. Board Resolution:

  • Convene a board meeting of directors to pass a resolution proposing the change in company name.
  • The resolution should include:
    • Reasons for the name change
    • Proposed new name (ensure it complies with MCA guidelines)
    • Authorization for a director or company secretary to initiate the process

2. Name Availability Check:

  • Conduct a name availability check through the MCA portal to confirm the proposed new name is not already in use by another company.
  • 3. Special Resolution by Shareholders:

  • Call for an Extraordinary General Meeting (EGM) of shareholders.
  • Present the proposed name change and obtain approval through a special resolution (at least ¾th majority of votes cast by shareholders entitled to vote).
  • 4. Application for Name Change:

    • Apply for approval of name change with the MCA using eForm INC-24.
    • The form should include:
      • Certified copy of the board resolution
      • Certified copy of the special resolution passed by shareholders
      • Notice of EGM
      • Fees as prescribed by the MCA

    5. MCA Approval and New Certificate of Incorporation:

    • The MCA will review the application and issue a public notice regarding the proposed name change.
    • If no objections are received within a stipulated timeframe, the MCA will approve the name change.
    • Upon approval, the MCA will issue a new Certificate of Incorporation reflecting the company’s new name.
