LLP Registration
LLP (Limited Liability Partnership) combines features of a partnership and a company, offering flexibility in management and limited liability protection to partners. Here’s a breakdown of the LLP registration process in India:
Steps involved:
- Digital Signature Certificate (DSC): Obtain a DSC for each proposed partner/designated partner. This acts like a digital signature for online filing.
- Designated Partner Identification Number (DPIN): Apply for a DPIN for each proposed partner/designated partner. DPIN is a unique identification number for LLP partners.
- Name Approval: File eForm-1 with the Ministry of Corporate Affairs (MCA) to check name availability and reserve your preferred LLP name.
- Incorporation of LLP: After name approval, file eForm-2 with MCA. This form includes details of the LLP and partners’ consent to act as partners.
- LLP Agreement: Draft and execute an LLP Agreement outlining the rights, responsibilities, profit-sharing, and management structure of the LLP. File eForm-3 with MCA within 30 days of incorporation.
