OPC Registration
OPC (One Person Company) registration in India is a process for establishing a company with just one director and shareholder. It offers limited liability protection to the owner, similar to a corporation, but with simpler regulations compared to a traditional company structure.
Steps involved:
- Digital Signature Certificate (DSC): Obtain a DSC for the proposed director. This acts like a digital signature for online filing.
- Director Identification Number (DIN): Apply for a DIN for the proposed director if they don’t already have one. DIN is a unique identification number for company directors.
- Name Reservation: File eForm SPICe+ (Part A) with the Ministry of Corporate Affairs (MCA) to check name availability and reserve your preferred OPC name.
- Prepare Documents: Draft the Memorandum of Association (MOA) and Articles of Association (AOA) outlining the company’s objectives and internal governance rules. Additionally, gather address proof and other required documents.
- File eForm SPICe+ (Part B): After name approval, file eForm SPICe+ (Part B) with MCA. This form includes detailed information about the OPC, directors, and proposed business activities.
- Certificate of Incorporation: Upon successful registration, MCA will issue a Certificate of Incorporation, signifying the official registration of your OPC.

- Address Proof of Director (Residence and Registered Office, if different)
- Passport-size Photograph of Director
- MOA and AOA of the OPC
- DSC of the Director
- DIN of the Director (if not already obtained)
